  • Why are you doing an STO?

    RISE’s business and technical ambitions require resources to quickly scale and utilize the full potential of its technology.

    The funds from the STO will allow RISE to grow the business and expand globally, attracting institutional clients who are looking for new and innovative technology-powered asset management solutions. Further, funds raised will allow for significant investment into R&D to further improve the profitability and competitiveness of RISE’s technology.

    The STO will also introduce RISE to a global community of retail investors, attracting fee-paying platform users during the STO marketing and sale period as well as providing added funds for user acquisition after the STO.

  • How do token holders profit?

    Token holders receive a share of all profits that RISE generates with its multiple business lines . RISE will take in usage fees from both institutional and retail investors in exchange for using RISE’s advanced AI trading technology. RISE shares 20% of its quarterly profit before taxes (EBIT) with token holders, which is paid out as ETH and distributed directly to token holders’ wallets.

    RISE charges a management fee to institutional investors based on the trading volume of the assets deployed by trading strategies developed with RISE’s software as well as a performance fee of all profits generated with its strategies.

    On the retail side, with the RISE App and other RISE retail offerings, a monthly per user revenue of about $15 is expected as a blended rate.

    Regardless of the source of revenues generated, token holders will get 20% of RISE’s company profits. In the event of an exit event like an acquisition or IPO, token holders will also earn a participation from the proceeds.

  • How much money can I make?

    Earnings for token holders are dependent on the number of tokens owned. Dividends are paid out based on a nominal value per token and are expected to increase as RISE’s business grows. RISE will use the proceeds from the STO to attract institutional and retail customers and invest further into its technology. Fees and revenues will grow over time as RISE increases the volume of assets traded utilizing strategies developed with RISE technology.

    RISE has set itself a target of $12 billion worth of assets trading with RISE AI-based strategies 5 years , which would result in significant profits for RISE token holders. While this asset amount might seem high at first look, in the context of the massive size of the asset management industry and the hundreds of billions of capital flowing into automated investing strategies, the RISE team sees this as a realistic target.

  • What will the STO funds be used for?

    RISE will use STO funds to invest into the continuous improvement of its existing trading systems and the development of new technologies to address additional market opportunities (e.g. Crypto, other alternative assets)

    The largest share of funds raised will be used to expand aggressively into global markets to attract institutional investors such as asset managers, institutions and other professional investors. This will in turn result in license fee revenues and thus increased token holder dividend payments. The remaining funds will be used for R&D and algorithm optimization, improvements to the retail products on RISE's mobile app, pay back loans, and to participate in investment opportunities.

  • Who can invest?

    The first phase of the RISE STO is open to investors in Europe who purchase a minimum of EUR 100,000 worth of RSE tokens and accredited investors in the US (see the question “What is an accredited investor?” further below) and qualified investors worldwide according to their national regulations with a minimum invest of $ 50,000

    The second phase of the RISE STO will be opened to all investors pending regulatory approval.

  • How can I invest?

    RISE tokens are only available for purchase directly from RISE via the RISE website and Securitize purchase platform during the STO at the following URL: https://rise.eco

    Please check that the domain in your browser URL bar ends with either “rise.eco” or “securitize.io” and look for any browser security warnings to before making a purchase.

    After the STO is over and tokens have been distributed, RISE tokens may be available on exchanges. Details will be announced in Q1 of 2020.

  • What is an STO

    STO stands for security token offering.

    A STOs is a method of raising capital by issuing a crypto token that serves as a contract for an investment with an underlying asset. In the case of RISE, the asset is the value of the profits shared with token holders.

    STOs are a hybrid approach between cryptocurrency ICOs and traditional initial public offerings (IPOs). The strict regulatory requirements for STOs make them a more secure investment than tokens issued during ICOs while still maintaining the flexibility cryptocurrencies and trust of smart contracts on a blockchain.

  • What documents do I need?

    A valid government-issued ID or passport is necessary for KYC verification. Your government-issued ID or passport must not be expired and must have your photograph on it. Please also have your national Tax-ID number available which is requested during the onboarding.

    Please use a scanner or the Google scanner app to get a clear picture of the front and back of your ID card (or the picture page of your passport if using a passport). If you do not have a scanner/the Google scanner app, please take a flat picture of the front and back of your ID (or the picture page of your passport if using a passport).

    Please ensure the documentation you submit meets ALL the following criteria:

    • No glare on the photo
    • All the information on the ID is readable
    • All corners of the ID are visible
  • What is an Accredited Investor?

    The first phase of the RISE STO is open to accredited investors in the US and investors purchasing tokens amounting to over EUR 100,000 only.

    In European jurisdictions, the offering in Phase 1 is made pursuant to an exemption under the Prospectus Directive 2003/71/EC with regard to securities addressed to investors who acquire securities for a total consideration of at least EUR 100,000 (or equivalent) per investor. Therefore, no qualified investor check is needed.

    The term “Accredited Investor” is a US-American designation for a person or a business entity who is allowed to deal in securities that may not be registered with financial authorities. To be considered an Accredited Investor in the United States, one must be one of the following:

    • An individual with a net worth of at least $1,000,000, excluding the value of one's primary residence, or
    • An individual who had an income of at least $200,000 each year for the last two years (or $300,000 combined income if married) and have the expectation to make the same amount this year.
    • a bank, insurance company, registered investment company, business development company, or small business investment company;
    • employee benefit plan, within the meaning of the Employee Retirement Income Security Act, if a bank, insurance company, or registered investment adviser makes the investment decisions, or if the plan has total assets in excess of $5 million;
    • a charitable organization, corporation, or partnership with assets exceeding $5 million;
    • a director, executive officer, or general partner of the company selling the securities;
    • a business in which all the equity owners are accredited investors;
    • a trust with assets in excess of $5 million, not formed to acquire the securities offered, whose purchases a sophisticated person makes

  • Why is KYC verification required?

    KYC (Know Your Customer/Know Your Client) is required for all investors due to stringent regulations set in place to prevent money laundering. The purpose of KYC is to prevent the STO from being used, intentionally or unintentionally, for unlawful purposes.

    RISE is required to confirm the identity of each investor to make sure that they are who they say they are. We will be using a third party to verify KYC for all investors.

  • What discounts are available (What is the pricing schedule)?

    Professional investors purchasing tokens during phase 1 can purchase tokens for $0.50 or 50% of the full token prices.

    Retail investor discounts will start at 30% and will be reduced until the end of the second phase of the STO until the full prices is reached (in Europe depending on regulatory approval).

  • Is this safe (Token Security)?

    All investments have some kind of risk. Please see the Risk Warning in the Information Memorandum in the Login area. RISE has taken special care to reduce risks for STO investors as much as possible.

    RISE is a German-based company and the STO will be carried out in a transparent and clear jurisdiction and in accordance with the strict financial regulations of RISE`s home country of Germany and the European Union.   • How do I buy Ethereum (ETH)?

    In order to purchase Ethereum (ETH), you will need to visit an online exchange such as Coinbase.com, Cex.io, or BitPanda.com.

    Please be aware that in order to purchase ETH using a debit card or credit card you may be asked to complete some verification steps. You can read more about those steps here (Coinbase), here (Cex), and here (BitPanda).

    Note: You will need to create an ERC20 compatible private wallet (such as a MyEtherWallet or MetaMask wallet) if you do not already have one in order to receive and store your RISE tokens. You may do this after you have purchased your tokens.

  • What is the minimum investment?

    The minimum investment amount for professional investors during Phase 1 of the STO is EUR 100,000.00 or USD 50,000 for accredited investors from the US.

    The minimum investment amount for retail investors during Phase 2 of the STO will be EUR 1.00 (in Europe upon regulatory approval).

  • What is the total supply of tokens?

    The total supply of tokens will be dependent on the volume of investment during the STO. The maximum supply possible will be 170,000,000 tokens. Tokens that are not sold will not be generated or burned. No tokens will be generated after the close of the STO.

  • What payment methods do you accept?

    Investors may purchase tokens using BTC, ETH, Visa and Mastercard, or by bank transfer of US Dollars or Euros.

    Please ensure the credit card you use meets the following requirements:

    • Visa or MasterCard credit or debit card
    • 3D Secured enabled
    • Cryptocurrency charges allowed by bank
    • Daily/Monthly limit above intended RISE purchase amount
  • What Token Protocol is used?

    The RISE digital securities offering is being powered by Securitize technology. Securitize delivers trusted global solution for creating and managing compliant digital securities, including the DS Protocol which has the highest adoption rate in the industry and allows for compliant secondary trading on multiple regulated security token marketplaces.
